These Terms of Service ("Terms") form a binding legal agreement between you ("you" or "User") and Mega Power Games Inc. ("Mega Power Games," "we," "us," or "our"), a corporation incorporated under the laws of the Province of Ontario, Canada. These Terms govern your access to and use of the Pulse mobile application, the Pulse web application, and all related services, features, websites, and content offered by Mega Power Games (collectively, the "Service").

By creating an account, downloading, installing, accessing, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you must not access or use the Service.

The Service is currently offered as an open beta. These Terms include important provisions regarding the beta status of the Service, limitation of liability, dispute resolution, and governing law. Please read them carefully.

1. Eligibility

1.1 Age Requirement

You must be at least 13 years old to create an account and use the Service. Users between the ages of 13 and the age of majority in their province, territory, or country of residence (typically 18 or 19 in Canada) must have the consent of a parent or legal guardian to use the Service.

1.2 Capacity

By using the Service, you represent and warrant that you have the legal capacity to enter into a binding agreement and that all information you provide is accurate, current, and complete.

1.3 Organizational Use

If you are using the Service on behalf of an organization, company, or other legal entity (for example, as a Developer or event Administrator), you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" and "User" shall refer to that entity.

1.4 Compliance

You may not use the Service if doing so is prohibited by applicable law in your jurisdiction, or if you are subject to sanctions or restrictions that would make your use unlawful.

2. Description of the Service

Pulse is a platform for organizing, managing, and participating in video game playtesting events. The Service provides tools for event registration, attendee check-in, surveys and feedback collection, application review, voting, raffle draws, push notifications, and (where enabled) competitive judging.

Specific features available to you depend on your assigned role and the configuration of the events in which you participate. Mega Power Games may add, modify, suspend, or remove features at any time at its sole discretion.

3. Open Beta

The Service is currently provided on a pre-release, "open beta" basis. Use of the Service during the beta period is at your own risk.

Pulse is being made available to early users to support testing, evaluation, and refinement prior to general availability. By accessing or using the Service during the beta period, you acknowledge and agree to the provisions of this Section 3, in addition to the rest of these Terms.

You acknowledge that the Service is under active development and that, as a result:

During the beta period, Mega Power Games provides no service-level commitment, uptime guarantee, support guarantee, or warranty of availability. The Service should not be relied upon for any time-sensitive, mission-critical, revenue-generating, or commercially essential purpose. You are solely responsible for evaluating the Service's suitability for your use case.

3.3 Data During the Beta

Data created, uploaded, or stored during the beta period may, at our reasonable discretion, be reset, migrated, anonymized, exported, restructured, or deleted, including in connection with schema changes, infrastructure migrations, security incidents, or the transition from beta to general availability. While we will make commercially reasonable efforts to preserve user data, you should not treat the Service as a system of record. We strongly encourage you to maintain independent copies of any data that is important to you.

3.4 Feedback

We welcome bug reports, suggestions, ideas, and other feedback regarding the Service ("Feedback"). To the extent you provide Feedback, you grant Mega Power Games a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable, and transferable licence to use, reproduce, modify, adapt, publish, distribute, and incorporate the Feedback into the Service or any other product, service, or material, without obligation, attribution, or compensation to you. You represent and warrant that any Feedback you provide is your own and does not violate any third-party right or obligation of confidentiality.

3.5 End of the Beta

Mega Power Games may end the beta period at any time, with or without notice. Following the end of the beta, Mega Power Games may (but is not obligated to) make the Service available on a generally-available, paid, free-tier, or otherwise modified basis, or discontinue the Service in whole or in part. Continued availability of any feature, free-of-charge access, account, or specific user data is not guaranteed beyond the beta period.

3.6 Disclaimers and Liability Apply

For greater certainty, the disclaimers in Section 14 and the limitations of liability in Section 15 apply in full force during the beta period. The beta status of the Service is a material factor in those disclaimers and limitations.

4. Accounts and Registration

4.1 Account Creation

To access most features of the Service, you must create an account. Authentication is provided through Amazon Cognito. You agree to:

You may not create or maintain more than one account for yourself, except where expressly permitted in writing by Mega Power Games. You may not share your account or transfer it to another person.

4.3 Account Security

You are responsible for safeguarding your credentials. We strongly recommend enabling multi-factor authentication (MFA), particularly for Admin accounts. Mega Power Games is not liable for any loss or damage arising from your failure to comply with reasonable security practices.

5. User Roles and Responsibilities

The Service supports several roles, each with distinct permissions and responsibilities. Your role is assigned by an event Administrator or by Mega Power Games, and may be changed at any time.

5.1 Administrators

Administrators (including Super Administrators) are users authorized to manage events, review applications, configure event modules, manage attendees, conduct check-ins, run raffles and voting, manage judging rounds, and access aggregate event data. Administrators agree to:

Developers are users who submit games for playtesting, manage developer profiles and team members, configure questionnaires, and review feedback. Developers agree to:

Media users are members of the press or content creators registered to attend events for coverage purposes. Media users agree to comply with any embargo, photography, recording, or coverage rules communicated by event organizers.

6. Acceptable Use

You agree not to use the Service to:

We reserve the right to investigate and take appropriate action against any User who, in our sole discretion, violates this section, including suspending or terminating accounts and reporting conduct to law enforcement where appropriate.

7. User Content

7.1 Definition

"User Content" means any content you submit, upload, or transmit to or through the Service, including but not limited to game artwork, logos, screenshots, build links, descriptions, team member information, application responses, survey answers, written feedback, judge notes, comments, and profile information. For clarity, "User Content" does not include Feedback governed by Section 3.4.

7.2 Ownership

You retain ownership of all intellectual property rights in your User Content. We do not claim ownership of your User Content.

7.3 Licence to Mega Power Games

By submitting User Content, you grant Mega Power Games a worldwide, non-exclusive, royalty-free, sublicensable, and transferable licence to host, store, reproduce, modify (only as necessary for formatting, display, or technical reasons), display, distribute, and otherwise use your User Content solely for the purpose of operating, providing, securing, and improving the Service, and for the lawful purposes described in our Privacy Policy. This licence terminates when you delete the relevant User Content or your account, except (a) for content shared with other users that they have already received, and (b) where retention is necessary for backups, fraud prevention, legal compliance, or anonymized analytics as described in the Privacy Policy.

7.4 Licence Among Users

When you submit User Content visible to other users (for example, a developer profile or game submission visible to playtesters; a survey response visible to a developer or organizer), you grant those users the right to view, use, and reference that content for the purposes contemplated by the relevant event.

You represent and warrant that:

7.6 Confidentiality of Pre-Release Content

Developer User Content (including game builds, artwork, and design materials) may be confidential and pre-release. Users who view such content as Playtesters, Judges, or otherwise agree not to record, capture, distribute, leak, reproduce, or publicly disclose such content except as expressly authorized by the developer or event organizer.

7.7 Removal

We reserve the right (but have no obligation) to review, refuse, or remove any User Content that we believe, in our sole discretion, violates these Terms or applicable law, or is otherwise harmful to the Service or its users.

8. Mega Power Games Intellectual Property

The Service, including all software, source code, designs, layouts, graphics, text, logos, trademarks, the "Pulse" name, and all related intellectual property, is owned by or licensed to Mega Power Games and is protected by Canadian and international copyright, trademark, and other intellectual property laws.

Subject to your compliance with these Terms, Mega Power Games grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service for its intended purpose. No other rights are granted, expressly or by implication.

You may not (a) copy, modify, or create derivative works of the Service; (b) reverse-engineer, decompile, or disassemble any portion of the Service except to the extent permitted by applicable law; (c) remove or alter any proprietary notices; or (d) use any Mega Power Games trademarks without our prior written consent.

9. Events and Event Organizers

9.1 Events Run by Third Parties

Many events available through the Service are organized and operated by third-party Administrators (for example, game studios, conventions, schools, or industry associations). Mega Power Games provides the platform, but is not the organizer of, nor responsible for, the content, conduct, scheduling, prizes, judging decisions, raffle outcomes, or in-person experience of any third-party event.

9.2 Event-Specific Rules

Event organizers may impose additional rules, codes of conduct, eligibility requirements, embargoes, or non-disclosure obligations applicable to participants in their events. By registering for an event, you agree to comply with those event-specific rules in addition to these Terms.

9.3 Application Approval

Where event applications require approval, organizers have sole discretion to approve, reject, or revoke applications. Mega Power Games is not responsible for application decisions made by event organizers.

9.4 Raffles, Prizes, and Voting

Raffles, prize draws, and voting features are tools provided to event organizers. Mega Power Games does not sponsor, fund, fulfil, or guarantee any prize, raffle outcome, or voting result. Responsibility for the legal compliance of raffles, sweepstakes, contests, and prize fulfilment rests solely with the event organizer.

9.5 Judging

Where the judging module is enabled, scoring, feedback, and outcomes are determined by judges and event organizers. Mega Power Games does not control or guarantee judging results.

10. Communications and Notifications

10.1 Transactional Communications

By creating an account, you consent to receive transactional communications necessary to operate the Service, including account verification, password reset, security notices, and event-related notifications for events you have registered for.

10.2 Push Notifications

Push notifications are subject to your device-level consent and may be enabled or disabled at any time through your device settings, as described in our Privacy Policy.

10.3 Bulk Communications

Where event organizers have enabled bulk-email functionality, you may receive event-related emails from organizers of events you are registered for. You may unsubscribe from non-transactional bulk communications at any time using the unsubscribe link in those emails or by contacting us.

11. Third-Party Services

The Service relies on or integrates with third-party services, including Amazon Web Services, Apple Push Notification service, and Firebase Cloud Messaging. Your use of those services is subject to their respective terms and privacy policies. Mega Power Games is not responsible for the availability, accuracy, content, or practices of any third-party service.

The Service may also link to or display content from third-party websites or services. Such links do not constitute endorsement, and Mega Power Games is not responsible for third-party websites or services.

12. Privacy

Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy carefully.

13. Suspension and Termination

13.1 Termination by You

You may stop using the Service and request the deletion of your account at any time by contacting us at contact@megapower.games or by following the account-deletion process described in our Privacy Policy.

13.2 Termination or Suspension by Us

Mega Power Games may suspend, restrict, or terminate your access to the Service, in whole or in part, at any time and without prior notice, if we reasonably believe that:

Upon termination, your right to access and use the Service ceases immediately. Sections that by their nature should survive termination (including Sections 3.4, 7, 8, 14, 15, 16, 18, and 19) will survive.

13.4 Discontinuation of the Service

Mega Power Games may modify, discontinue, or sunset the Service or any feature, in whole or in part, at any time. Where reasonably practicable and where we hold your contact information, we will provide reasonable advance notice of a material discontinuation.

14. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE," without warranties of any kind. This is especially relevant during the open-beta period described in Section 3.

To the maximum extent permitted by applicable law, Mega Power Games and its affiliates, directors, officers, employees, agents, and licensors disclaim all warranties, express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement.

Without limiting the foregoing, Mega Power Games does not warrant that:

Any reliance on the Service is at your sole risk. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

15. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Mega Power Games or its affiliates, directors, officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to damages for lost profits, lost revenue, lost data, lost goodwill, business interruption, or substitute services, whether arising in contract, tort (including negligence), strict liability, or any other legal theory, even if Mega Power Games has been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, the aggregate liability of Mega Power Games to you for all claims arising out of or relating to the Service or these Terms shall not exceed the greater of (a) the amount you have paid to Mega Power Games for the Service in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred Canadian dollars (CAD $100).

The limitations in this Section 15 apply to the maximum extent permitted by applicable law, even if any limited remedy fails of its essential purpose. Some jurisdictions do not allow the limitation or exclusion of liability for certain damages, so some of the above limitations may not apply to you.

16. Indemnification

You agree to defend, indemnify, and hold harmless Mega Power Games and its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

Mega Power Games reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defence of such claim.

17. Changes to the Service and to These Terms

17.1 Changes to the Service

We may add, modify, suspend, or remove features of the Service at any time, with or without notice. This is particularly the case during the open-beta period described in Section 3. We are not liable to you or to any third party for any modification, suspension, or discontinuance of the Service.

17.2 Changes to These Terms

We may update these Terms from time to time to reflect changes to the Service, applicable law, or our business practices. When we make material changes:

18. Governing Law and Dispute Resolution

18.1 Governing Law

These Terms and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

18.2 Forum

Subject to Section 18.3, you and Mega Power Games agree that the courts located in the Province of Ontario, Canada, shall have exclusive jurisdiction over any dispute or claim arising out of or relating to these Terms or the Service, and you submit to the personal jurisdiction of those courts.

18.3 Informal Resolution

Before initiating any formal proceeding, you agree to attempt to resolve any dispute informally by contacting us at contact@megapower.games with a description of the dispute and any requested resolution. We will use reasonable efforts to resolve the dispute within thirty (30) days of receipt.

18.4 Consumer Rights

Nothing in these Terms limits any non-waivable consumer-protection rights you may have under the laws of your province, territory, or country of residence.

19. General Provisions

19.1 Entire Agreement

These Terms, together with the Privacy Policy and any event-specific rules referenced in Section 9, constitute the entire agreement between you and Mega Power Games regarding the Service and supersede all prior or contemporaneous understandings.

19.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

19.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. No waiver is effective unless in writing and signed by an authorized representative of Mega Power Games.

19.4 Assignment

You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. We may assign these Terms without restriction, including to an affiliate or in connection with a merger, acquisition, or sale of assets. Any attempted assignment in violation of this section is void.

19.5 Force Majeure

Mega Power Games shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, labour disputes, governmental action, network or infrastructure failures, or third-party service outages.

19.6 No Agency

Nothing in these Terms creates any partnership, joint venture, agency, employment, or fiduciary relationship between you and Mega Power Games.

19.7 Language

We may provide notices to you by email, through the Service, or by other reasonable means. You must provide notices to us at contact@megapower.games.
